1. Services

Django Studio provides software development, consulting, and related technical services. The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate Statement of Work (SOW) or proposal agreed upon by both parties.

We reserve the right to modify or discontinue any aspect of our services at any time, with reasonable notice to active clients.

2. Engagement Terms

All engagements are governed by a signed SOW or proposal that specifies the scope of work, deliverables, milestones, payment terms, and other engagement-specific conditions. In the event of any conflict between these Terms and a signed SOW, the SOW shall take precedence.

We will perform services with reasonable skill and care, consistent with generally accepted industry standards.

3. Payment Terms

Payment terms, rates, and schedules are specified in the applicable SOW or proposal. Unless otherwise agreed, invoices are due within 14 days of issuance.

Late payments may be subject to interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend work on any project with outstanding overdue payments.

4. Intellectual Property

Upon full payment of all fees, we assign to you all intellectual property rights in the custom code and deliverables created specifically for your project, unless otherwise specified in the SOW.

We retain ownership of pre-existing tools, libraries, frameworks, and methodologies that we bring to or develop independently of your project. Where such materials are incorporated into your deliverables, we grant you a perpetual, non-exclusive, royalty-free licence to use them as part of the delivered work.

We may retain the right to use anonymised, non-confidential aspects of the engagement for portfolio and marketing purposes, unless you request otherwise in writing.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. Confidential information includes business plans, technical specifications, source code, customer data, and financial terms.

Confidentiality obligations do not apply to information that is publicly available, independently developed, received from a third party without restriction, or required to be disclosed by law.

Confidentiality obligations survive the termination of any engagement for a period of two years.

6. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. If any deliverable does not materially conform to the agreed specifications, we will correct it at no additional cost within a reasonable timeframe, provided you notify us within 30 days of delivery.

Except as expressly stated above, our services and this website are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability

To the maximum extent permitted by law, Django Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of our services or website.

Our total aggregate liability for any claims arising from an engagement shall not exceed the total fees paid by you to us under the applicable SOW in the twelve months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

8. Termination

Either party may terminate an engagement with 14 days' written notice. Upon termination, you are responsible for payment of all work completed and expenses incurred up to the termination date.

We will deliver all completed work and work-in-progress upon receipt of final payment. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.

9. Website Use

You may use our website for lawful purposes only. You agree not to use the website in any way that could damage, disable, or impair the site, or interfere with any other party's use of the site.

All content on this website, including text, graphics, logos, and design elements, is the property of Django Studio and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our written permission.

10. Indemnification

You agree to indemnify and hold harmless Django Studio, its directors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of our services, or any third-party claims related to deliverables that you modify after delivery.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, acts of government, pandemic, war, terrorism, labour disputes, power failures, or internet disruptions.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Django Studio operates. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or the courts of the applicable jurisdiction.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with any applicable SOW and our Privacy Policy, constitute the entire agreement between you and Django Studio regarding the subject matter hereof. These Terms supersede all prior agreements and understandings, whether written or oral.
